Incoming changes to certain CRO filings

The Companies Registration Office (CRO) recently announced that a number of forms will be available to file online only from 11 June 2023. The CRO has advised that paper forms received by post after 11 June 2023 will be returned for submission online via the Companies Online Registration Environment (CORE).

The affected forms are as follows:

  • G1-B4 (special resolution to increase authorised share capital)
  • G2-B4: (ordinary resolution to increase authorised share capital)
  • B5 (return of allotments)
  • B7 (variation of share capital)
  • B69 (cessation of company secretary or director where company has failed to file notice)
  • B77 (authorisation/revocation of electronic filing agent)

External company filings:

  • F2:  (alterations in the memorandum/articles)
  • F3 (change in directors/secretary/persons who represent an external company/authorised persons/persons responsible for compliance with regulations)
  • F7 (return of accounts)
  • F12 and F13 (registration of branch of EEA or non-EEA company)
  • F14 (notice of closure of branch/ liquidation of company/insolvency proceedings/appointment of liquidator)

The requirement for directors' Personal Public Service Numbers (PPSNs) to be included in certain filings to the CRO as a means of identity verification is also expected to apply from 11 June 2023.

We are awaiting sight of statutory instruments to formally effect these changes.
