Companies are reminded that, since 1 March, certain Companies Registration Office (CRO) forms must be filed online. These changes were introduced last December by the Companies Act 2014 (Section 897) Order 2021 (SI No 676/2021). These forms should now be submitted via the Companies Online Registration Environment (CORE). This does not mean, however, that the CRO's position on electronic signatures has changed. Where a document is required to be signed before being submitted to the CRO, it must be done in one of two ways: (a) signed in wet ink and uploaded to CORE, or (b) signed electronically using a Revenue Digital Signing Certificate.
The forms which must now be filed electronically are as follows:
- G1 and G2 (special and ordinary resolution)
- C6 and C7 (satisfaction and partial satisfaction of charge)
- E2, E2A, E2B, E2C (appointment, resignation and removal of liquidator)
- E3, E4, E5, E6, E7, E8, E9, E11 (forms related to liquidation and receivership)
- H1 and H15 (restoration to the register and voluntary strike off)
The option of filing these forms and associated documents in paper form ceased on 1 March and any paper copies received after that date will be returned for online submission.
There are new 'how to' videos on the CRO YouTube page explaining how to file some of the latest online forms.
The Companies Act 2014 (Fees) (No. 2) Regulations 2021 (SI No 674/2021) set out a new table of fees for CRO filings.
